　　THIS AGREEMENT OF LEASE is made on this 16th day of December 20xxby and BETWEEN:

　　乙方應致力于提高工作效率，按時(shí)完成生產(chǎn)、工作任務(wù)。如因特殊情況需要加班，可自行安排。如乙方希望通過(guò)自行安排加班取得加班費，則乙方必須在加班前四小時(shí)填寫(xiě)加班申請表呈總經(jīng)理審批。否則，視為無(wú)效加班，詳見(jiàn)《員工手冊》。

　　Party B must try his best to increase the working efficiency to meet Party A's requirement. If there are special circumstances that Party B has to work overtime, Party B can arrange by themselves. If Party B requests OT payment, he/she must fill in the OT application form and have it approved by GM. OT Application Form without authorized signature is not valid.

　　六、加班費 OT Compensation

　　乙方經(jīng)甲方批準在工作日加班，甲方必須支付給乙方基本工資150%的報酬;休息日被安排工作而甲方又不能夠給予乙方同等時(shí)間的補休，則甲方須支付給乙方基本工資200%的報酬;若在國家法定休假日被安排工作,甲方付給乙方基本工資300%的報酬。

　　If Party B works over time and has approved by Party A, he/she will be offered the same period of compensation leave or OT salary according to Labor Law of PRC China.

　　七、假期與福利 Holiday & Benefits

　　1. 有薪國家法定假日 Statutory Holiday of PRC China with pay

　　八、勞動(dòng)紀律 Discipline

　　乙方應嚴格遵守甲方制定的各項規章制度和勞動(dòng)紀律(詳請請參照《員工手冊》執行)

　　Party B shall strictly obey Party A’ regulations and discipline. Please refer to Party A's employee manual.

　　九、保密協(xié)議 Confidentiality

　　乙方需嚴格保守工作過(guò)程中接觸和了解到的公司商業(yè)秘密(包括生產(chǎn)技巧、工藝流程、技術(shù)秘密、管理方法、產(chǎn)銷(xiāo)策略、貨源情報、設計圖紙、成本價(jià)格和客戶(hù)資料)，否則將受到行政處罰(如無(wú)條件解雇、賠償等);觸犯刑法的，甲方將有權移交司法機關(guān)處理。乙方調離甲方，應得到甲方同意，并將所有商業(yè)秘密資料移交甲方，同時(shí)承擔不向外泄露的義務(wù)，并保證半年內不得利用甲方商業(yè)秘密在生產(chǎn)同類(lèi)且與甲方有競爭關(guān)系的產(chǎn)品的其他企業(yè)內任職。否則，甲方有權要求乙方賠償因此而帶來(lái)的一切經(jīng)濟損失。

　　The recipient shall undertake the obligation to keep confidential, in accordance with the scope and duration agreed upon by both parties, the technical secrets contained in the technology provided by the supplier, which have not been made public.

　　十、合同終止 Termination

　　1. 終止本合同條件 Termination conditions

　　A. 試用期間，雙方皆可即時(shí)通知對方解除本合同;

　　During the probation period, either side can terminate the contract by immediate effect.

　　B. 試用期滿(mǎn)后，任何一方欲解除合同，須提前三十日以書(shū)面形式通知對方。否則，違約方須向守約方支付違約金(違約金為乙方一個(gè)月的工資)，若造成守約方經(jīng)濟損失的，應依法承擔賠償責任。

　　Party B is forced to work by illegal means.

　　B. 未按本合同約定支付勞動(dòng)報酬或勞動(dòng)條件的;

　　Force Majeure:

　　The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. 　　(a)Immediately inform its customers (especially owners of vehicles sold by the Dealer) of the Dealer’s closure using the mutually agreed template attached to this Agreement, and obtain the customers’ consent to the transfer of the customer’s information to VGIC and VGIC’s use of such informationsubject to the applicable laws and regulations of PRC;

　　使用本協(xié)議隨附的且雙方一致同意的方式，把經(jīng)銷(xiāo)商和大眾公司之間簽訂的所述經(jīng)銷(xiāo)商合同的終止情況立即告知經(jīng)銷(xiāo)商自己的.客戶(hù)（特別是從經(jīng)銷(xiāo)商處購買(mǎi)了汽車(chē)的車(chē)主），取得客戶(hù)同意后，把客戶(hù)信息移交給大眾公司，大眾公司應當按照適用的中華人民共和國的法律和法規來(lái)使用該種信息。

　　(b) Immediately execute the necessary contracts for the transfer of its repair, return and replacement obligations pursuant to the applicable laws and regulations and the Dealer’s sales contracts for vehicles sold by the Dealer to a mutually agreed affiliate;

　　立即根據適用的法律和法規以及經(jīng)銷(xiāo)商就銷(xiāo)售給雙方一致同意的附屬公司的車(chē)輛而簽訂的銷(xiāo)售合同，為維修義務(wù)、產(chǎn)品退回義務(wù)和替換義務(wù)的讓與而簽署必要的合同。

　　(c) immediately transfer, and ensure its affiliated companies transfer, to VGIC or other Volkswagen Group companies respectively, without any consideration, the trademarks registered in the PRC and/or trademark registration applied in the PRC, which belong to VGIC or other Volkswagen Group companies, and any domain names registered in the PRC, which contain the Lamborghini trademarks or name of VGIC or other Volkswagen Group companies;

　　立即向大眾公司或者大眾集團的其它公司讓與全部歸大眾公司所有的或者大眾集團其它公司所有的、在中華人民共和國注冊的商標和/或在中華人民共和國申請的商標注冊，以及包含蘭博基尼商標或者大眾公司名稱(chēng)或者其它大眾集團公司名稱(chēng)的任何域名，不得收取任何對價(jià)，并確保經(jīng)銷(xiāo)商自己的附屬公司也這樣做。

　　(d) immediately cease using, and ensure its subsidiaries and branches (if any) to cease using,the Lamborghini trademarks and “Lamborghini” or its Chinese translations in its corporate name; 立即停止使用并確保其子公司和分公司（如果有的話(huà)）停止在其公司名稱(chēng)中使用蘭博基尼商標、“Lamborghini”和Lamborghini 的漢語(yǔ)譯文 “蘭博基尼”;

　　(e) not apply, and ensure its affiliated companies not apply, directly or indirectly, for registration of any trademarks or names (including any Chinese translations) belonging to VGIC or other Volkswagen Group companies. Otherwise, VGIC or other Volkswagen Group companies are entitled to request such trademarks and/or names transferred to VGIC or other Volkswagen Group companies, free of charge, at any time;

　　不得直接或者間接地申請注冊屬于大眾公司或者大眾集團其它公司的任何商標或名稱(chēng)（包括漢語(yǔ)譯名），并確保其附屬公司也這樣做。否則，大眾公司或者大眾集團其它公司有權在任何時(shí)間要求把該等商標和/或名稱(chēng)讓與給大眾公司或者大眾集團的其它公司。

　　(f) immediately remove and return to VGIC (or otherwise dispose of as VGIC may instruct) all signboard and symbols containing the Lamborghini trademarks; and

　　立即移除包含蘭博基尼商標的任何招牌和標識并歸還給大眾公司（或者按照大眾公司的指示處理這些招牌和標識）；以及

　　(g) immediately return to VGIC or otherwise dispose of as VGIC may instruct all equipment and tools, samples, instruction books, technical pamphlets, catalogues, advertising materials, specifications and other materials, documents or papers whatsoever provided by VGIC to the Dealer and relating to VGIC’s business (other than correspondence which has passed between the parties) which the Dealer may have in its possession or under its control.

　　’s dealership account; and 元人民幣的經(jīng)銷(xiāo)商經(jīng)銷(xiāo)賬戶(hù)余額；以及

　　2.4 Within 30 days following the signing of this Agreement, the Dealer should apply to deregister itself with the relevant government authorities as an authorized dealer of Lamborghini brand products, including revising its business scope shown on the business license accordingly.

　　本協(xié)議簽署后的三十天內，經(jīng)銷(xiāo)商應當向相關(guān)的政府機關(guān)申請撤銷(xiāo)自己作為蘭博基尼品牌產(chǎn)品授權經(jīng)銷(xiāo)商的登記，包括相應地修改經(jīng)銷(xiāo)商營(yíng)業(yè)執照中業(yè)務(wù)范圍。

　　2.5 The Dealer agrees to maintain strict confidentiality regarding all VGIC’s confidential information, including any data, information, plans, drawings, specifications, documents, know-how, physical objects (such as models, parts or devices) or materials of or relating to the production, engineering, technology, financing, marketing of Volkswagen and Lamborghini products, personnel of VGIC, their parent corporation or their subsidiaries or affiliates, if such confidential information is not known or available to the public (“Confidential Information”). The Dealer undertakes that it will not, at any time, reveal, communicate, divulge or make available any Confidential Information to anyone, other than to such extent and to such persons as may specifically be designated by VGIC in writing.

　　第一條：委托事項

　　1. THE ENTRUSTED MATTERS

　　甲方委托乙方發(fā)展海外市場(chǎng)為甲方營(yíng)銷(xiāo)其產(chǎn)品。

　　Party A hereby appoints Party B to develop overseas market and promote its products.

　　第二條：委托事項的具體要求

　　2. OBLIGATION

　�。�1） 甲方應保證所生產(chǎn)產(chǎn)品的合法性及保證產(chǎn)品質(zhì)量。

　　Party A shall ensure the legality of the products and ensure product quality.

　�。�2） 甲方與海外客商交易的具體價(jià)格、交貨方式、支付方式等由甲方與海外客商雙方協(xié)商約定。

　　All the trade terms including price, payment term, delivery, etc are negotiated by Party A and customers.

　�。�3）甲方應嚴格按國家的“FOB、 C&F或 CIF條款”執行與海外客商所簽定的合同。

　　Party A shall be in strict accordance with the " FOB, C & F or CIF terms in the contracts.

　�。�4）乙方承諾每年給甲方介紹______美元的銷(xiāo)售額。

　　Party B promise that the turnover will be more than USD ______ per year through Party B.

　�。�5）乙方應協(xié)助甲方回收全額貨款及提供最新的市場(chǎng)信息。

　　Party B should assist Party A to receive the full payment as per the sales contracts.

　　Party B will provide the market information to Party A.

　�。�6）乙方不能將甲方營(yíng)業(yè)范圍內的海外客戶(hù)關(guān)系泄露給第三方，否則甲方會(huì )按盜竊公司機密對乙方提起公訴。

　　Party B should not disclose the customer information to a third party. Otherwise Party A will indict Party B.

　　第三條：傭金的計算、給付方式、給付時(shí)間

　　3. Rate of commission, payment term

　�。�1） 甲方同意按每筆合同成交總額（扣除稅金，運費和貨代的費用）的______支付傭金給乙方。

　　Party A will agree to pay ______ of the total turnover of each contract - deducting taxes and the freight- to Party B.

　�。�2） 給付方式及時(shí)間：

　　第四條：違約責任

　　4. Liability

　　If Party A does not follow (2) of Section 3, Party A have to pay the overdue fine. The amount is 5 ‰ of the total commission per day.

　　第五條：協(xié)議仲裁

　　5. AGREEMENT ARBITRATION

　　雙方如果發(fā)生糾紛，可憑此合同向甲方所在仲裁機構進(jìn)行。In the event of dispute, both parties can present to arbitration court from Party A’s place.

　　第六條：本合同未盡事宜雙方協(xié)商解決。

　　6. CHANGES.

　　Any changes of terms relating to this agreement must be done in a written form, and agreed upon by both parties.

　　現行協(xié)議條款的修改必須經(jīng)協(xié)議雙方授權人書(shū)面簽字方能生效。

　　第七條：特別約定。

　　SPECIAL CLAUSE
